WKB Lawyers advised Lisner Holding sp. z o.o., a member of the UTM (Unternehmensgruppe Theo Müller) group, on the signing of a preliminary share purchase agreement for 100% of shares in Greenwich Investments sp. z o.o., the parent company of the Graal Group.

As part of the transaction, Lisner will acquire part of the Graal Group’s canned fish, ready-to-eat meal, and marinade production and distribution business. The final share purchase agreement is conditional on receiving the consent of the Office of Competition and Consumer Protection (the UOKiK).

WKB provided Lisner with comprehensive legal services at all stages of the transaction process, beginning with conducting legal due diligence, through transaction structuring, and negotiating and preparing the transaction documents, which include share purchase agreements as well as transitional services agreements. WKB will continue to support Lisner in the next steps of this transaction, including in connection with submitting a notice of the intent to concentrate.
