On March 31, 2021, Gaz-System S.A. and Polskie LNG S.A. merged pursuant to Article 492 § 1 point 1 of the Polish Code of Commercial Companies (as a result of the merger Gaz-System took over Polskie LNG). According to Gaz-System, the main goal of the process of integrating the entities was to increase the efficiency of managing investment processes, which had been carried out by the companies separately until the merger.

Gaz-System is responsible for the transmission of natural gas and manages the most important gas pipelines in Poland. Polskie LNG operates the only LNG terminal in Poland (owned by Gaz-System) that enables the collection of liquefied natural gas by sea.

WKB lawyers supported both companies in the merger process, which had started in October 2019. The project was multifaceted and covered not only issues in the area of company and energy law, but also environmental protection, state aid, labour law, real estate, and infrastructure. It required close cooperation of specialists from various practices of the WKB law firm.

The work of the team was led by Anna Wojciechowska – partner managing the company law and corporate governance practice, supported by Maciej Szambelańczyk – partner co-managing the energy law practice, and the key members of the team were: Krzysztof Wawrzyniak (counsel; company law and corporate governance) and Krzysztof Sikorski (senior associate; energy law).
