WKB advised Avallon MBO Fund on the acquisition of a majority stake in Globema sp. z o.o., a Poland-based provider of geospatial software, along with its subsidiaries in the US, Romania, Serbia, and the Czech Republic.
WKB provided Avallon MBO Fund with comprehensive legal support during the entire transaction process, including advising on the transaction’s structure, pre-transaction restructuring, and negotiation of transaction documents (share purchase agreement, as well as shareholders’ agreement with Globema’s managers that will remain involved in Globema’s business operations post-closing), as well as advised on obtaining the necessary consents for the transaction. WKB was also responsible for the legal due diligence of Globema.
Jakub Jędrzejak with the assistance of Dominik Kulpa and Olga Tajak advised the client on all transactional aspects. Piotr Gajek dealt with all state-aid-related issues, whereas Marcin Kembłowski was responsible for real estate transactional issues. Michał Kalicki, with the assistance of Sebastian Łyś and Marcin Lorenc, advised on the facility agreement obtained in connection with the transaction.
