WKB lawyers advised Innova/6 SCA SICAV-RAIF, an alternative investment fund of Innova Capital Group investing in Central and Eastern Europe on investment in three companies operating in the dental services market.

Firstly, WKB lawyers advised Innova on the acquisition of a majority stake in DPC – the largest chain of dental clinics in Lithuania. WKB Lawyers also advised the client during negotiations of the shareholders’ agreement with DPC’s founder and one of the leading implantologists in Lithuania – Mr Simonas Bankauskas – with the purpose of creating a dental and implantology services company, which aim is to create a chain of dental branches throughout Europe.

Moreover, at the same time, WKB lawyers advised Innova Capital on the acquisition of two dental companies in Poland: Pomorska Inicjatywa Medyczna sp. z o.o. (operating under Dentaurus brand, with facilities in Gdańsk and Toruń, a leading dental clinic in the Pomorskie and Kujawsko-Pomorskie regions) and Medicadent Stomatologia sp. z o.o. (an entity having its clinics in Poznań, Luboń and Wolsztyn, offering a full range of dental services and leading paediatric dentistry in the Wielkopolska region), which constitute the first two add-ons to the pan-European dental chain.

WKB provided Innova Capital with comprehensive legal support during the entire transaction process, including advising on the transaction’s structure, structuring of the international aspects of the transaction, due diligence of the Polish entities and in the negotiation of the transaction’s terms and documentation, as well as advised on some aspects in connection with obtaining the regulatory permits (as the acquirer of medical entities). WKB lawyers, as a lead-counsel, also handled the coordination of the entire multi-jurisdictional team of legal advisors throughout three different jurisdictions.
