WKB Wierciński, Kwieciński, Baehr advised ABB on the Polish aspects of its acquisition of GE Industrial Solutions (GEIS), General Electric’s global electrification solutions business.
ABB is a pioneering technology leader in electrification products, robotics and motion, industrial automation and power grids, serving customers in utilities, industry and transport & infrastructure globally. The acquisition of GEIS strengthens ABB’s second global position in electrification.
Currently, ABB plans to integrate GEIS into ABB’s Electrification Products (EP) division as a new business unit called Electrification Products Industrial Solutions (EPIS). The transaction closed on 30 June 2018, after receiving regulatory clearance from the European Commission.
WKB provided the client with legal support throughout the transaction process. In particular, WKB undertook legal due diligence in respect of the Polish companies being part of GEIS, and advised on negotiations in relation to the Polish transaction documents.
