WKB advised Orkla Group on its acquisition, through a Polish subsidiary, of the entire confectionery and foodstuff supply enterprise, together with the enterprise’s owned and leased warehouse facilities and a fleet of trucks, of Ambasador 92 spółka z ograniczoną odpowiedzialnością sp.k. which closed on 1 March 2021. The preliminary enterprise purchase agreement was signed on 10 July 2020 and was conditional on, among others, receiving antimonopoly approval from the Polish Office of Competition and Consumer Protection.

The Orkla Group, headed by Orkla ASA, a Norwegian company listed on the Oslo Stock Exchange, is a leading supplier of branded consumer goods and concept solutions to the grocery sector, specialist retailers, out-of-home sectors, and the bakery industry.

Ambasador 92 sp. spółka z ograniczoną odpowiedzialnością sp.k. is a Polish company that for the past 20 years has been engaged in the import and distribution, production and transport, and logistics of foodstuffs for bakeries, confectionaries, ice cream parlors, gastronomy, and other food businesses across Poland.

WKB provided Orkla Group with comprehensive legal support during the entire transaction process, including advising on the structure of the transaction, assisting during the due diligence, and in the negotiation of the transaction’s terms and documentation.
