WKB advised Avia Capital Fund on the acquisition of the majority of the shares in Pro-Project (following its transformation into the Pro-Project group sp. z o.o. – a limited liability company from a business operating previously as sole entrepreneurship).

WKB provided Avia Capital with comprehensive legal support during the entire investment and transaction process, advising on the transaction’s structure, assisting during the due diligence as well as in the negotiation of the transaction’s terms and documentation (including negotiation of the financing documents) and advisory services on matters related to the closing and the post-closing actions.

Jakub Jędrzejak (partner) led the team’s work, whose key members were Tomasz Maślak (managing associate) and Katarzyna Stefaniak (associate) from M&A practice with support from Marcin Smolarek (partner), Michał Kalicki (counsel) and Aleksandra Nalewajko (associate) from Banking and Finance practice.

Pro-Project Group is manufacturing products and/or solutions for quality assurance for medical and industrial applications, including medical quality control phantoms, as well as software related to operations and usage of such products/solutions, including phantoms. Main distribution markets include the EU, USA and various Middle East countries, however, the main production company is based in Poland.
