WKB advised Avallon MBO Fund on the acquisition of the majority of shares in Norlys AS, producer of high-quality outdoor lighting for the professional lighting business.

WKB lawyers advised Avallon MBO Fund on the acquisition of 75% of the shares in Norlys AS along with its subsidiaries in Poland, Sweden and France – Norlys Group constitutes an international holding producing high-quality outdoor lighting for the professional lighting business with its main production plant based in Nowy Sącz.

WKB provided Avallon with comprehensive legal support during the entire transaction process, advising on the transaction’s structure, including structuring of the international aspects of the transaction, coordinating the work of foreign counsels, assisting during the due diligence as well as in the negotiation of the transaction’s terms and documentation.

Jakub Jędrzejak (partner) led the team’s work, whose key members were Katarzyna Stefaniak (associate), Zuzanna Cybulska (associate), and Kinga Mogilnicka (associate). Carl Christian Marthinussen of Kvale, advised Avallon on Norwegian aspects of the Transaction, and Anne Toupenay-Schueller of Jeantet, advised Avallon on French aspects of the Transaction.

Norlys is a producer of high-quality outdoor lighting for the professional lighting business with Scandinavian origin with distribution companies in Norway, Sweden and France and the main production company (including production plant) in Poland. In 2020, Norlys achieved revenue of PLN 83 million, of which PLN 56.7 million from its Polish subsidiary – Norlys sp. z o.o. EBITDA margin has fluctuated around 20 % in recent years.
