WKB Wierciński, Kwieciński, Baehr advised PKO BP Group during the merger process of two investment fund companies – PKO TFI and Gamma TFI (previously KBC TFI), which was entered into the Register of Entrepreneurs of the National Court Register at the beginning of June.
The merger process was initiated in March 2018, after the completion of the rebranding of the former KBC TFI, acquired by PKO BP Group at the end of 2017. The total value of assets managed by PKO TFI and Gamma TFI at the end of May 2018 was PLN 33.41 billion.
In addition to the significant value of the transaction, and the speed and swiftness with which the transaction was completed (i.e. barely three months), the fact that it involved two operating investment fund companies makes it unique in the Polish market.
Anna Wojciechowska (partner) and Krzysztof Wawrzyniak (senior associate), who provided advice to PKO BP Group in all areas of corporate and company law, and Monika Obiegło (banking & finance associate) who advised on regulatory matters, were the key members of the WKB team.
