Our role: Our team joined forces to conduct detailed due diligence on the assets and to negotiate and finalize the share purchase agreements.
Result: The value of the transaction we legally secured exceeded PLN 1 billion.
Project: Sale of companies owning six wind farms to a leading Polish energy company. The project required coordination with lawyers from Germany and Denmark.
Our role: We acted as the seller’s advisor. The WKB Lawyers team prepared vendor due diligence reports, developed the transaction structure, and negotiated the transaction documents, including those related to the repayment of debt to lenders.
Result: successful coordination across three legal jurisdictions in a single transaction estimated at over PLN 900 million.
Project: Norwegian private equity fund HiTec Vision invested in Polska Grupa Biogazowa (PGB), a leading biogas producer in Poland. The transaction involved the acquisition of a 50% stake in the existing production assets and potential investments to expand PGB’s production capacity.
Our role: We provided legal support throughout the entire process—from due diligence and negotiations of the transaction documentation to filing a merger notification with the Office of Competition and Consumer Protection (UOKiK).
Result: successful closing of a EUR 190 million transaction, covering all aspects of the project—investment, regulatory, and antitrust.
