Scale and Innovation (Intel Corporation)

Project: We supported Intel Corporation with the Polish aspects of its acquisition of Habana Labs—an Israeli company designing processors for machine learning (AI). The transaction represents the pinnacle of global hardware innovation.

Our role: handling the Polish aspects of the transaction. Our team combined transactional expertise with an understanding of the specifics of the AI sector to ensure a smooth process under Polish jurisdiction.

Result: effective coordination of an international technology transaction, including the specific nature of the AI market.

Global Fund Invests in Polish Software Company (Accel-KKR / Symfonia)

Project: Accel-KKR, an investment fund focused on software and technology services, acquired a majority stake in Symfonia sp. z o.o.—a group developing technologies that support business process management.

Our role: advising on the share acquisition. The Tech & M&A team analyzed the product portfolio, licensing policy, IP structure, and SaaS contracts. Together with transaction lawyers, we secured the transaction from an ownership structure perspective.

Result: The fund joined the company with a full understanding of the technological assets and business risks, which were further secured during the transaction.

Consolidation of the cybersecurity market (Infradata)

Project: Infradata—a global provider of cybersecurity solutions—acquired 100% of the shares in DIM System sp. z o.o. and TUKAN IT sp. z o.o., two leading Polish companies in the IT security sector.

Our role: comprehensive legal support in the transaction. Our team not only conducted standard due diligence but also identified key risks related to security certifications, contracts with government clients, and compliance with cybersecurity regulations.

Result: legal protection for the acquisition of two leading entities and strengthening of the client’s position in the region.
